Conflict of Interest Disclosure Form

Purpose

The purpose of this form is to protect the interests of the Tennessee Kidney Foundation (TKF) by ensuring that decisions are made in the best interest of the organization and not influenced by personal interests or relationships. This form must be completed annually and updated as necessary.

All Officers and Directors who are responsible for conducting the business of TKF shall avoid any conflict between their own respective individual interests and TKF in any and all actions taken by them on behalf of TKF in their respective capacities.

Definitions

Conflict of Interest: A conflict of interest occurs when a board member, executive committee member, or their immediate family has a financial interest or other personal interest that may compromise or appear to compromise the individual’s judgment or ability to act in the best interest of TKF.

Procedures

Any individual with a possible conflict of interest shall make this known, shall not vote or use personal influence on the matter, and shall not be counted in determining the quorum for the meeting.

The foregoing requirements shall not be construed as preventing any member from stating their position in the matter, nor from answering pertinent questions of other members.[/vc_column_text][/vc_column][/vc_row]
